Terms of Service

1. Definitions

• "Account" means a registered user profile on the Platform.
• "Buyer" means a user who browses listings, saves vehicles, contacts sellers, or otherwise seeks to purchase a vehicle.
• "Dealer" means a licensed motor vehicle dealer or authorized dealership representative using the Platform.
• "Individual Seller" or "Seller" means a non-dealer user who lists a personally owned vehicle for sale.
• "Listing" means a vehicle advertisement, including photos, descriptions, pricing, and related metadata.
• "Boost" means a paid visibility feature for a Listing.
• "User" means any person or entity that accesses or uses the Platform, including Buyers, Sellers, and Dealers.
• "User Content" means content you submit, upload, publish, or transmit through the Platform, including listings, messages, photos, and profile information.
• "AI Content" means descriptions, summaries, scores, recommendations, tags, or other outputs generated by artificial intelligence features on the Platform.

2. Ownership and operator

CarSwipe AI™ is owned and operated by YOHA Enterprise LLC, a Virginia limited liability company. The Platform is available at https://carswipe.ai. For questions about these Terms, contact support@carswipe.ai.

3. Eligibility

• You must be at least 18 years old and capable of forming a binding contract to use the Platform.
• Dealers must be duly licensed where required and authorized to advertise and sell the vehicles they list.
• You may not use the Platform if you are barred under applicable law or if we have previously suspended or terminated your Account.
• You represent that all registration information you provide is accurate, current, and complete.

4. User accounts

• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
• You must promptly notify us of any unauthorized access or security breach involving your Account.
• We may require verification of identity, dealership authority, email address, or phone number before enabling certain features.
• You may not create multiple Accounts to evade restrictions, manipulate listings, or misrepresent your identity.
• We may refuse registration, reclaim usernames, or limit Account features at our discretion where permitted by law.

5. Marketplace role

CarSwipe AI™ is a vehicle marketplace and software platform only. CarSwipe AI™ does not own, inspect, verify, sell, finance, transport, title, warrant, or guarantee vehicles listed by Sellers or Dealers. We are not a party to transactions between Buyers and Sellers or Dealers.

Listings, messages, pricing, availability, and vehicle condition are provided by Users. CarSwipe AI™ does not guarantee the accuracy, legality, quality, safety, or suitability of any vehicle or User Content.

Any sale, financing, inspection, test drive, payment outside the Platform, title transfer, or delivery arrangement is solely between the Buyer and the Seller or Dealer.

6. Seller obligations

• Sellers and dealers are responsible for accurate prices, mileage, vehicle condition, availability, photos, logos, and listing details.
• You must own the vehicle or have lawful authority to sell or advertise it.
• You must provide truthful disclosures required by federal, state, and local law, including odometer and title-related disclosures where applicable.
• You must promptly update or remove Listings that are sold, unavailable, inaccurate, or no longer authorized.
• You are solely responsible for taxes, fees, title transfer, and compliance with motor vehicle sales laws applicable to your transaction.

7. Dealer obligations

• Dealers must maintain accurate dealership profile information, including business name, address, contact details, and licensing information where displayed.
• Dealers must comply with the FTC Used Car Rule, state dealer licensing laws, advertising regulations, and all applicable consumer protection requirements.
• Dealers are responsible for lawful lead follow-up and communications, including compliance with the Telephone Consumer Protection Act (TCPA) and applicable privacy laws.
• Dealers must not misrepresent inventory, pricing, incentives, vehicle history, or dealership affiliation.

8. Buyer obligations

• Buyers are responsible for independently verifying vehicle condition, title, history, financing, and suitability before purchase.
• You should inspect vehicles in person, review documents, and consult qualified professionals before relying on any listing or AI Content.
• You must communicate respectfully and lawfully with Sellers and Dealers.
• You must not use the Platform to commit fraud, harassment, or unlawful activity.

9. Acceptable use

You agree to use the Platform only for lawful marketplace purposes and in accordance with these Terms, our Community Guidelines, Acceptable Use Policy, and applicable agreements for your role.

10. Prohibited conduct

• Posting misleading, unlawful, infringing, abusive, or fraudulent content.
• Creating fake listings, duplicate listings, or impersonating another person, dealership, or business.
• Scraping, crawling, reverse engineering, or attempting to bypass technical safeguards without authorization.
• Uploading malware, conducting security attacks, or interfering with Platform operation.
• Harvesting user data, spamming, or sending unsolicited marketing through the Platform.
• Circumventing fees, Boosts, or account restrictions.
• Using bots or automated means to access the Platform except as expressly permitted.

11. Intellectual property

• CarSwipe AI™ and its licensors own the Platform, software, branding, logos, and underlying technology, subject to rights you retain in your User Content.
• You may not copy, modify, distribute, sell, or create derivative works from the Platform except as expressly allowed.
• Our trademarks and trade dress may not be used without prior written permission.

12. User-generated content

• You retain ownership of User Content you submit, subject to the license below.
• You grant CarSwipe AI™ a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and use your User Content to operate, promote, and improve the Platform.
• You represent that you have all rights necessary to submit User Content and that it does not violate law or third-party rights.
• We may remove or restrict User Content that violates these Terms or applicable law.

13. AI-generated content

AI-generated descriptions, summaries, scores, tags, and insights are assistive tools. Users must review and edit AI-generated content before publishing or relying on it.

AI Content may be inaccurate or incomplete. CarSwipe AI™ does not guarantee the accuracy of AI outputs and is not responsible for decisions made based on AI Content without independent verification.

14. Stripe payments

• Paid Boosts and certain other payment flows are processed through Stripe, Inc. and its affiliates.
• By making a purchase, you agree to Stripe's applicable terms and privacy practices in addition to these Terms and our Refund & Boost Policy.
• We do not store full payment card numbers on our servers. Payment information is handled by Stripe.
• Failed payments, chargebacks, and disputes may be handled under Stripe's and applicable card network rules.

15. Listing boosts

Paid boosts and related payment flows may be processed through Stripe. Boosts increase listing visibility for a defined period but do not guarantee views, leads, sales, or placement.

Boost pricing, duration, and features may change. Activated Boosts are subject to our Refund & Boost Policy.

16. Subscriptions

CarSwipe AI™ may offer subscription plans or recurring paid features in the future. If introduced, additional terms will describe billing cycles, renewal, cancellation, and refunds. Unless otherwise stated, subscription fees are non-refundable except where required by law.

17. Disclaimer of warranties

THE PLATFORM AND ALL CONTENT, INCLUDING AI CONTENT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CARSWIPE AI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARSWIPE AI AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY TRANSACTION WITH ANOTHER USER.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CARSWIPE AI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless CarSwipe AI™ and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Platform, your violation of these Terms or applicable law, or your interactions with other Users.

20. Account suspension and termination

• We may suspend, restrict, or terminate your Account or access to the Platform at any time, with or without notice, for conduct we believe violates these Terms, creates risk, or harms Users or CarSwipe AI™.
• You may stop using the Platform at any time. Some provisions survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution.
• Upon termination, your right to use the Platform ceases immediately, but we may retain information as described in our Privacy Policy.

21. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia and applicable federal law of the United States, without regard to conflict-of-law principles.

22. Virginia jurisdiction

Subject to the arbitration provision below, you agree that state and federal courts located in Virginia shall have exclusive jurisdiction over disputes not subject to arbitration, and you consent to personal jurisdiction in those courts.

23. Arbitration and class action waiver

• Except for qualifying small claims matters or requests for injunctive relief, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.
• Arbitration will take place in Virginia unless otherwise required by law.
• YOU AND CARSWIPE AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
• You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing support@carswipe.ai with your name, Account email, and a clear opt-out request.

24. Force majeure

CarSwipe AI™ will not be liable for delay or failure to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or telecommunications failures, utility failures, government actions, or third-party service outages.

25. Entire agreement

These Terms, together with the Privacy Policy, role-specific agreements, Community Guidelines, and other policies referenced herein, constitute the entire agreement between you and CarSwipe AI™ regarding the Platform and supersede prior understandings on the same subject.

26. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

27. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms and revising the "Last updated" date. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
