Dealer Agreement

This Dealer Agreement ("Agreement") applies to licensed motor vehicle dealers and authorized dealership representatives ("Dealer," "you," or "your") who use CarSwipe AI™ to list inventory, manage leads, and interact with Buyers. By creating or using a Dealer account, you agree to this Agreement in addition to our Terms of Service and Privacy Policy.
1. Dealer authority
- You represent that you are authorized to create and manage listings for your dealership.
- Dealer profile information, logos, website links, addresses, and contact details must be accurate and kept current.
- You represent that you are a duly licensed motor vehicle dealer where licensing is required and that you have authority to bind the dealership to this Agreement.
2. Compliance with federal and state law
- You must comply with all applicable federal, state, and local laws governing vehicle sales, advertising, consumer protection, privacy, and communications.
- You are solely responsible for determining which laws apply to your dealership and inventory.
- CarSwipe AI™ does not provide legal compliance advice.
3. FTC Used Car Rule
If applicable to your sales, you are responsible for complying with the Federal Trade Commission's Used Car Rule, including providing required Buyers Guides and accurate disclosures for covered used vehicles.
4. Odometer disclosure responsibilities
You are responsible for accurate odometer disclosures and mileage representations in listings, advertisements, and transaction documents as required by federal and state law.
5. VIN accuracy
- Each listing must reflect the correct VIN for the advertised vehicle.
- You must not alter, obscure, or misrepresent VIN information.
- VIN decode results and AI-generated vehicle details must be verified before publication.
6. Vehicle ownership and authority to advertise
- Do not list vehicles you are not authorized to sell or advertise.
- You must have lawful possession or authority to market each vehicle in your inventory.
- Listings must be removed or updated promptly when vehicles are sold, unavailable, or no longer authorized for sale.
7. Listing obligations
- Dealers are responsible for vehicle accuracy, pricing, mileage, status, availability, photos, incentives, and disclosures.
- Do not list vehicles you are not authorized to sell or advertise.
- Do not upload photos, logos, or content unless you own them or have permission to use them.
- Pricing must reflect actual offered prices or clearly disclosed conditions, fees, or qualifications required by law.
8. Copyright and content ownership
- You must own or have permission to use all photos, logos, trademarks, videos, and listing copy you upload.
- You may not upload stock images, competitor assets, or copyrighted materials without authorization.
- You grant CarSwipe AI™ the license described in the Terms of Service to display dealership content on the Platform.
9. Lead handling
- You are responsible for timely, professional, and lawful follow-up with Buyer leads generated through the Platform.
- You must not sell, spam, or misuse Buyer contact information obtained through CarSwipe AI™.
- Lead response practices must comply with applicable advertising, privacy, and consumer protection laws.
10. Privacy compliance
You must handle Buyer personal information in compliance with applicable privacy laws and only for legitimate dealership purposes related to the inquiry or transaction. You are responsible for your own privacy notices and practices when communicating outside the Platform.
11. TCPA and communications compliance
Dealers are responsible for lawful, professional follow-up with buyers and must comply with applicable advertising, privacy, consumer protection, and communications laws.
Before contacting Buyers by phone, text, or autodialed means, you must obtain and document any consent required by the Telephone Consumer Protection Act (TCPA), state telemarketing laws, and carrier rules. CarSwipe AI™ does not provide consent on your behalf for outbound dealership marketing.
12. Advertising compliance
- All advertisements must be truthful, not misleading, and include required disclosures.
- You must not advertise unavailable vehicles, bait-and-switch offers, or false incentives.
- Comparative claims, certifications, and warranty statements must be substantiated and lawful.
13. Dealer indemnification
You agree to indemnify and hold harmless CarSwipe AI™ from claims, fines, penalties, damages, and expenses arising from your listings, dealership operations, communications with Buyers, regulatory violations, or intellectual property disputes related to your content.
14. Suspension rights
CarSwipe AI™ may suspend, restrict, or terminate Dealer accounts or listings that appear inaccurate, unlawful, fraudulent, abusive, or harmful to Buyers or the marketplace. We may remove inventory or disable features while investigating suspected violations.
